Terms of Service

1. Acceptance

By accessing or using OrbitSuite ("Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service. These Terms apply to all users, including those on free trials and paid plans.

2. Description of Service

OrbitSuite is a modular AI agent runtime platform providing developer automation, memory continuity, and multi-agent orchestration. Features vary by subscription tier. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

3. Accounts & Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at cockpit@orbitsuite.cloud of any unauthorized access.

4. Subscriptions & Billing

Paid plans are billed monthly in advance. All fees are in USD and non-refundable except as required by law or stated in our refund policy. We use Stripe for payment processing. You authorize us to charge your payment method on each renewal date. Failure to pay may result in suspension or termination of your account.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to reverse-engineer, decompile, or extract source code
• Use the Service to generate malicious code, malware, or harmful content
• Resell or sublicense access without written permission
• Interfere with or disrupt the integrity or performance of the Service

6. Intellectual Property

OrbitSuite and all associated software, trademarks, and content are the exclusive property of OrbitSuite, Inc. These Terms do not grant you any ownership rights. You retain ownership of content you submit, but grant us a limited license to process it to provide the Service.

7. Confidentiality

You may have access to non-public information about the Service. You agree to keep such information confidential and not disclose it to third parties without our prior written consent.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBITSUITE, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Termination

Either party may terminate at any time. You may cancel your subscription through the dashboard or by contacting us. We may suspend or terminate your account for violations of these Terms. Upon termination, your right to use the Service ceases immediately.

11. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Erie County, New York.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice. Continued use of the Service after changes constitutes acceptance of the updated Terms.
